Two members of Medtekhnika Limited Liability Company entered into an agreement in accordance with which Vasilyev gave Makarov his share in the authorized capital of the said company. The contract was concluded in writing and one copy of the agreement (together with a notice of the transaction) was sent to the company on February 21. During the annual general meeting, which was held on April 2, Makarov was denied the right to use the votes attributable to his share from Vasiliev, since the changes arising from the transaction were not made to the constituent documents of the company. The chairman of the meeting advised Makarov to demand that Vasiliev issue a power of attorney for the indicated number of votes.
